Selecting a Package

1. Package A

   This package is for those who want to save by doing some of the work by themselves. The package does not come with company chops, seals, stock certificates and other stationery. Only governmental and certified documents are prepared and mailed. The package includes:

   • original Certificate of Incorporation
   • original Business Registration
   • originally submitted governmental documents
   • printed version of Statutory Record of Directors, Secretaries and Subscribers
   • electronic version of Memorandum and Article of Association
   • Jinetic as the company secretary for the first year after incorporation
   • one set of printed CPA-certified company documents for opening a bank account
2. Package B

   This package is for those who want to save time. It comes with everything including a green plastic box, company chops and seals, and all stationery. The package includes:

   • original Certificate of Incorporation
   • original Business Registration
   • original governmental documents
   • printed version of Statutory Record of Directors, Secretaries and Subscribers
   • electronic version, and 12x printed copies of Memorandum and Article of Association
   • a green plastic box
   • 1x metal company seal
   • 2x company chops
   • Jinetic as the company secretary for the first year after incorporation
   • one set of printed CPA-certified company documents for opening a bank account

Company Information

1. Naming a new company
   • Here is a general guideline about naming a Hong Kong company:
     • Check both the Chinese and English names at the Company Registry website and make sure it is not taken. We will also do a name search before submitting the documents to the government.
     • The name must be in English or Traditional Chinese or in both languages.
     • The name must end with the word "Limited".
     • The name must not have an offensive, illegal, or misleading meaning. It must not contain prohibited words such as "trust", "bank", etc.
     • The name must not be identical or similar to the name of another company or governmental agency.
     • If the name is opposed by other companies with similar names, the Company Registry may request the name to be changed.
2. Nominal Value of each share
   • The recommended value is HKD $1.00 per share.
3. Authorized Share Capital
   • Authorized Share Capital is the maximum amount of shares a company can legally issue.
   • The recommended value is HKD $10,000.00.
   • If the Authorized Share Capital of the company is set over HKD $10,000.00, then there is an extra HKD $1.00 governmental fee for every HKD $1,000.00 additional capital.
4. Business Information (optional)
   • If the name, address, etc, used in business are different from that of the company registration, then you must enter the information here. The business information includes fictious name and store location.
5. Witness Information (required)
   • A witness is required to witness the signing of the Memorandum and Article of Association (M&A) by the share holders. The witness also needs to sign the M&A in order to make the M&A effective. The witness can be anyone except the directors and the share holders of the company. He can be your friend or relative. If you cannot find a witness, you can visit our office in Hong Kong and we will witness the signing of the M&A.

7. Optional Services
   • Secretary Service - This service allows us to provide company-related services after incorporation, such as change of address and share assignment. This serivce is included in the incorporation fee and is mandatory in the first year after incorporation.
   • Registered Office Service
     • Governmental Mails Only - If this service is selected, we would forward all governmental mails for this company to your address. Select this service if you do not have a Hong Kong address.
     • All Mails under 30g - If this service is selected, we would forward all mails for this company under 30g to your address, including governmental mails.
8. Mail Forward Address
   • You can change the mail forward address under Account Management > Update Information

Entity Information

Our service supports up to 50 entities.

1. Type of Entity
   • Individual - Either Hong Kong ID card number or passport number is required.
   • Corporation - The company number is required only if it is a Hong Kong company.

1. Incorporation Fee
   • Package A: HKD $5,380.00
   • Package B: HKD $6,280.00
2. Shipping and Handling Fee
   • Pick up at our office: HKD $0.00
   • Package A: Flat rate everywhere, HKD $300.00
   • Package B: Hong Kong - HKD $50.00, China - HKD $100.00, International: HKD $780.00
3. Shares Issued
   • If the capital of the company exceeds HKD $10,000.00, then there is a HKD $1.00 governmental fee for every HKD $1,000.00 additional capital.
4. Secretary Service
   • Appointing Jinetic Consultants Limited as the company secretary for the first year after incorporation: included in the incorporation
